Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the iShield Protector enterprise Android Device Management platform, including the web dashboard, Android MDM agent, and all associated APIs and services (collectively, the "Service").

By creating an account, enrolling a device, or using any part of the Service, you accept these Terms on behalf of yourself and your organization.

2. Acceptable Usage

You agree to use iShield Protector only for lawful purposes and in accordance with these Terms. Permitted uses include:

• Managing Android devices owned by your organization
• Managing Android devices that have been provided to customers under a financing or lease agreement where device management is disclosed
• Deploying kiosk and dedicated-purpose Android devices
• Enforcing corporate device policies on employee-issued devices
• Managing customer device portfolios as an authorized distributor

You expressly agree NOT to use the Service to:

• Monitor or manage devices without the device user's knowledge where required by law
• Engage in unauthorized surveillance of individuals
• Violate any applicable privacy, employment, or telecommunications laws
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to other accounts or systems

3. Account Responsibilities

• You are responsible for maintaining the security of your account credentials
• You must promptly notify us of any unauthorized access to your account
• You are responsible for all activities that occur under your account
• Account sharing between unrelated organizations is not permitted
• You must provide accurate account registration information and keep it current

4. Enterprise Device Management

When using iShield Protector for enterprise device management, you represent and warrant that:

• You own the managed devices OR have contractual authority to manage them
• Device users have been informed that their device is under enterprise management
• Your use of device management capabilities complies with applicable employment, privacy, and telecommunications law in your jurisdiction
• You will not use device management features to engage in any unlawful discrimination
• You will maintain appropriate acceptable use policies for device users

5. Distributor Responsibilities

If you are granted Distributor or Sub-Distributor access to the platform, you additionally agree to:

• Manage only devices and customers within your authorized portfolio
• Not access customer accounts, devices, or data outside your assigned hierarchy
• Ensure customers in your portfolio have been appropriately informed of device management
• Comply with iShield Protector's Distributor Program guidelines
• Be responsible for your sub-distributors' compliance with these Terms
• Immediately report any policy violations by your sub-distributors

6. Service Availability

iShield Protector targets 99.9% platform uptime excluding scheduled maintenance. Scheduled maintenance windows will be communicated at least 24 hours in advance. We are not liable for downtime caused by factors outside our reasonable control including network outages, force majeure events, or third-party infrastructure failures.

7. Intellectual Property

The iShield Protector platform, including its software, dashboards, documentation, and branding, is the exclusive intellectual property of iShield Protector. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You may not reverse engineer, copy, modify, or redistribute any part of the Service.

8. Termination

Either party may terminate the service relationship with 30 days written notice. We may terminate or suspend your account immediately and without notice if you:

• Materially breach these Terms and fail to cure within 7 days of notice
• Engage in unauthorized surveillance or misuse the platform
• Fail to pay applicable service fees
• Become subject to insolvency proceedings

Upon termination, you will retain access to export your data for 30 days, after which data will be deleted according to our Privacy Policy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ISHIELD PROTECTOR AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY TO YOU FOR DIRECT DAMAGES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO ISHIELD PROTECTOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Governing Law

These Terms are governed by applicable law. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction as agreed in your service agreement.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated with at least 30 days notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
